CORPORATE COMPLIANCE PROGRAM
Antares Pharma has developed an integrated company-wide Corporate Compliance Program designed to promote accountability for legal and ethical responsibilities across all functional areas of Antares Pharma, including Finance, Legal, Human Resources, Regulatory, Quality, Clinical, Research and Development, Business Development, Operations, Manufacturing, Commercial and Marketing. In addition, the Corporate Compliance Program is intended to address the elements of an effective compliance program in accordance with the “Compliance Program Guidance for Pharmaceutical Manufacturers” developed by the United States Department of Health and Human Services, Office of Inspector General.

Antares Pharma has established various methods of confidential and non-confidential communication for its employees and others to report concerns about conflicts of interest, ethical concerns, financial fraud or irregularities, violations or suspected violations of laws, rules, policies, regulations, Antares Pharma’s Code of Business Conduct and Ethics, or its Corporate Compliance Program.
Those concerns may be raised on an non-anonymous basis by submitting them in the form of a complaint to firstname.lastname@example.org or (609) 359-3031, which will be monitored by Antares Pharma’s Chief Compliance Officer or a designee.
A complaint may be submitted on a confidential, anonymous basis to Antares Pharma’s “Whistleblower Hotline”. The Whistleblower Hotline is maintained through an outside reporting firm, which can be reached at: Whistleblower Hotline”. Alternatively, a complaint can also be submitted on a confidential, anonymous basis to Antares Pharma’s Audit Committee of the Board of Directors (the “Audit Committee”), send it in a sealed envelope marked clearly as “confidential” to the Chair of the Audit Committee at Antares Pharma’s principal address (as indicated in Antares’ website at www.antarespharma.com).

CODE OF CONDUCT
The Board of Directors of Antares Pharma adopted the Code of Business Conduct and Ethics which applies to all directors, officers, and employees of Antares Pharma (collectively, “Company Personnel”). The Code of Business Conduct and Ethics was adopted to help these Company Personnel meet standards of ethical conduct and good corporate governance. Specifically, the purpose of this Code of Business Conduct and Ethics is:
- to encourage among Company Personnel a culture of honesty, accountability, and mutual respect;
- to promote compliance with all applicable governmental laws, rules and regulations;
- to provide guidance to help Company Personnel to recognize and deal with ethical issues; and
- to provide mechanisms for Company Personnel to report unethical conduct.

Antares Pharma is committed to protecting the environment, health and safety (EHS) of our employees, our customers, and the public. We seek to operate our facilities in an environmentally responsible way to protect our people, our business, our environment and the local communities in which we operate.
We have adopted many internal environmental policies and we maintain management systems designed to ensure compliance with applicable laws, regulations and Company requirements, and which support the integration of EHS into our business processes.
Antares Pharma is committed to the protection of human health and prevention of pollution. We strive to identify and eliminate negative EHS impacts associated with our facilities, activities, service, and products throughout their lifecycle.
We are committed to continual improvement of our EHS management systems and performance. We establish EHS objectives and targets, conduct management systems and performance evaluations, and periodically review results to continuously improve our EHS management system.
Antares Pharma executive management has the primary responsibility for implementing our EHS policy, allocating resources, and establishing and supporting EHS programs. Our employees are responsible for integrating EHS considerations into their work activities.
CALIFORNIA STATEMENT OF COMPLIANCE
It is the policy of Antares Pharma to maintain the highest level of professional and ethical standards in the conduct of its business and to comply with all applicable laws in the United States and in all foreign countries where it operates. To ensure compliance with this policy, the company has adopted a formal Compliance Program in accordance with California Health and Safety Codes §§ 119400-119402 (“California’s Healthcare Compliance Program Requirements”), and, to the best of its knowledge as of January 1, 2021 and based on its good faith understanding of such statutory requirements, declares that it is in compliance with California’s Healthcare Compliance Program Requirements. While even the best compliance program cannot guarantee that individual unethical employees engage in improper or unethical conduct, we believe that our compliance program has been reasonably designed, implemented and enforced with the goal of preventing and detecting such improper conduct. Furthermore, as required by best compliance practices, we continuously and regularly assesses its effectiveness and implement changes or refinements where needed.
